David J. Jolivette is an accomplished business lawyer. With over forty years of experience in the full range of business and real estate transactions, Mr. Jolivette’s goal in all of his clients’ transactions is to bring the deal home in a timely and efficient manner. He makes the legal component of business deals a manageable step in reaching his clients’ goals, not a problematic, complicated step. His clients look to him to find solutions to their problems, and he delivers.

Within Mr. Jolivette’s transactional practice, he handles all aspects of both the purchase and sale of businesses, assets, and real estate. He coordinates the appropriate financing transactions, and creates any necessary corporation, limited liability company, or partnership the transaction requires. After a business is up and running, he also negotiates contracts and leases, and handles ongoing company issues. Focusing on privately held companies, Mr. Jolivette is there every step of the way, helping build companies from the ground up, and handling all of their transactional needs.

In addition to his transactional practice, Mr. Jolivette also maintains a sophisticated Estate Planning practice, preparing estate plans for both individuals and for the owners of his business clients. He has a wide range of experience, from straight forward estate plans to complex and multi-generational plans. He serves as trustee or co-trustee of several trusts and is experienced in dealing with issues involving transitioning businesses to the next generation and complications which arise in estate administration as a larger section of the population matures.

Before joining Varga Berger Ledsky Hayes & Casey, Mr. Jolivette previously worked with the law firms of Sidley & Austin, Friedman & Koven, Pretzel & Stouffer, and most recently, Jolivette & Templer. Before attending law school at the University of Wisconsin in Madison, he served two years in the Peace Corps in India.

Representative Engagements

  • Represents growing manufacturer that started out 15 years ago with one location, three machines, and four employees, and expanded to its current four locations In Illinois and Indiana, with 325,000 square feet and 300 employees. Representation has included handling the purchase of four industrial properties, leasing another, and, over time, leasing four different warehouses. Mr. Jolivette’s services also include assisting in purchasing the assets of another company, selling a part of the assets to a third party, obtaining private financing for the start-up, and securing a series of asset based loans now totaling $26 million, three mortgages and various equipment loans. Representation has now expanded to ten entities involved in the business.
  • Maintains 35-year representation of world-wide beauty school text book publisher, including handling numerous reorganizations, contracts, leases, and purchases and sales of real estate.
  • Represents muffler shop franchisee with 20 locations in the Chicago and St. Louis areas. Handles negotiations for and purchases of new locations, along with leases at all locations and many real estate purchase transactions.
  • Represented a client in the purchase of five apartment complexes in Michigan, including several refinancing transactions over time. Set up eight limited liability companies during this process.
